1. Scope
These Terms of Use (“Terms”) govern the relationship between SIMPLAFY LTDA, Brazilian tax ID (CNPJ) 41.209.892/0001-12, headquartered in Brasília/DF, Brazil (“Simplafy”), and the user or contracting company (“Customer”) in the use of the products and services offered by Simplafy.
Products covered by these Terms: Simplafy Hub, Simplafy Saúde, public APIs, integrations and the institutional website simplafy.com.br.
2. Definitions
- Platform: the set of software, APIs and interfaces made available by Simplafy.
- Account: the Customer’s registration, including users, roles and permissions.
- Customer Content: data, messages, media and any information entered into the Platform by the Customer or its end users.
- Plan: the contracted package, with scope, limits and price defined in the Order.
3. Registration and accounts
The Customer is responsible for the accuracy of registration information and for safeguarding credentials. All activity performed with valid credentials will be attributed to the Customer.
3.1. Users and roles
The Customer may create additional users and assign them roles (Admin, Operator, Viewer). The Customer is responsible for periodically reviewing access and deactivating inactive accounts.
3.2. Account security
Two-factor authentication and strong passwords are recommended. Credential compromise must be reported immediately to [email protected].
3.3. Use through AI assistants
A user may authorize a third-party AI assistant (such as ChatGPT) to use the Platform on their behalf. The assistant acts with that user’s credential and within that user’s permissions, and everything it does with that credential is attributed to the Customer, as if done by the user. The Customer is responsible for choosing trustworthy assistants, reviewing the actions they perform and revoking access when no longer needed. Data sent to the assistant is then processed by the AI provider under its own terms. Full rules on the Simplafy MCP page.
4. Permitted use
The Customer may use the Platform for the purposes described in the Order, within the contracted limits (message volumes, integrations, users).
5. Prohibited conduct
The Customer may not, directly or through third parties:
- Reverse-engineer, decompile or attempt to obtain the Platform’s source code;
- Use the Platform to send SPAM, unauthorized communications or unlawful content;
- Upload data without an adequate legal basis (e.g. contact lists without consent);
- Use the Platform for purposes other than those set out in the Order;
- Allow access by unauthorized users.
6. Intellectual property
All rights to the Platform, including software, design, trademarks and documentation, belong to Simplafy. These Terms do not transfer any ownership rights.
Customer Content remains the property of the Customer. Simplafy receives a limited, non-exclusive, revocable license to process such content solely for the provision of the services.
7. Payment and renewal
Plans are contracted in monthly or annual cycles, with automatic renewal unless notice to the contrary is given 30 days in advance. Default exceeding 5 (five) days authorizes suspension of the service, with a 5 (five) day cure period; if the default persists for more than 60 days, the contract may be terminated for cause.
| Plan | Billing | Adjustment |
|---|---|---|
| Monthly | Bank slip / card / Pix | Annual IPCA index |
| Annual | Bank slip / Pix / invoice | Annual IPCA index |
| Enterprise | As per contract | Negotiated |
8. SLA and availability
Simplafy commits to a minimum monthly availability of 99% for the Hub and 99.9% for Health, excluding scheduled maintenance windows — announced 24 hours in advance for the Hub and 72 hours for Health.
Operational details — response times, service credits, escalation — are set out in the SLA Addendum attached to the contract.
9. Limitation of liability
Simplafy is not liable for indirect damages, loss of profits or data loss resulting from misuse by the Customer, third-party failures (providers, gateways) or force majeure.
Simplafy’s total liability, in any event, is limited to the amount paid by the Customer in the 12 months preceding the triggering event.
10. Termination
The Customer may terminate the contract at any time by notifying Simplafy, regardless of the non-renewal notice in Clause 7. For annual plans, any remaining balance is handled as set out in the specific clause of the Order.
Simplafy may terminate in the event of a material breach not cured within 15 days of notice.
11. Changes to the Terms
These Terms may be updated. Material changes will be communicated 30 days in advance by e-mail and in-Platform notification. Continued use after that period constitutes acceptance.
12. Governing law and jurisdiction
These Terms are governed by the laws of Brazil. The courts of Brasília/DF have exclusive jurisdiction over any dispute, to the exclusion of any other, however privileged.
