1. Welcome to Simplafy Partners
Simplafy Partners is the support-partner program of Simplafy Hub. You, the partner, stay close to the companies that use the Hub: you answer questions, guide them and help solve day-to-day issues. Simplafy recognizes this work with the Partner Program Payment, made monthly for the provision of this support service and calculated on everything those customers pay to Simplafy.
To be clear from the start: the customer contracts and pays the Hub directly to Simplafy; you provide a service to Simplafy and issue your service invoice to Simplafy. This is a business-to-business service partnership, not resale, franchise or selling on behalf of Simplafy.
This is a commercial relationship between companies: you organize your work, your hours, your team and your means as you see fit, within the targets of these Terms; there is no exclusivity, subordination or any employment relationship between the people of your company and Simplafy.
These Terms apply to the 2027 Edition of the program: from your acceptance until December 31, 2027.
2. How to join
- Any company with an active CNPJ (Brazilian company tax ID), including MEI (individual micro-entrepreneur), can join. The CNPJ is what makes the service invoice possible, so it is part of the partner registration.
- You join through the Simplafy Hub sign-up, from the "I want to be a partner" button on the website: you create the account and choose whichever Hub plan you prefer, from Livre (Free) to any paid plan, like any customer. Your account is created normally, on the chosen plan; being a partner does not change plan, credit or price.
- After you log in, the Hub opens the partner registration: company details (CNPJ, website, Pix key), your public profile (trade name, brand image, city/state, description, languages, specialties and other fields) and these Terms with the acceptance checkbox. If you already have a Hub account, use the same "I want to be a partner" button on the website while logged in, and the Hub opens the same registration.
- When you submit, your partnership request is under review by Simplafy, and the Hub shows this to you. Once approved, you receive an e-mail and the Simplafy Partners app appears in your account: it is your program area inside the Hub (overview, referrals, customers, Partner Program Payment, public profile and code). Without approval, the app does not appear. Meanwhile, you can already use the Hub normally.
3. How a customer reaches you
- Through your code. You may bring in new customers and give them your partner code (or link). When a company enters the code while signing up for the Hub, it is linked to you from the start. It keeps paying Simplafy directly.
- Through the Hub's referral. Whoever signs up without a code and chooses "with a partner" receives a referral from Simplafy, by area of expertise and according to the program's distribution rules, or picks you from the catalog. The order in which partners appear in the catalog and in the referral is drawn at random each time, with greater weight for the Advanced level (three times that of Select) and never by payment. Simplafy presents partners; the choice is always the customer's (item 14).
- Notice, acceptance and welcome. When a customer chooses you, you receive the notice in the Simplafy Partners app, by e-mail and in the Hub, and you have up to 4 hours, during business hours, to accept or decline the referral. Before accepting you see only the customer's first name, plan and language; full contact details appear after acceptance. When you accept, the customer automatically receives an e-mail with your details and the notice that you will contact them within 24 hours. The welcome contact is mandatory: by WhatsApp, e-mail or phone, at your choice, within 24 hours of acceptance, during business hours, recorded in the app (channel and date). If you decline or the acceptance deadline passes, the referral goes immediately to another partner, and the customer is not told who declined. Declining does not count against your targets; your decline rate appears in the app for information only.
- One partner per customer. Each customer has a single support partner at a time.
4. Support service, the two quality targets and what happens if they are not met
In exchange for the Partner Program Payment, your commitment is support service to the linked customers, through the Hub itself (Inbox), where the request reaches you. If you wish, you may use your Hub AI agents to help with this service.
Target 1 — response time. Every request from a linked customer is answered within 24 hours, during business hours, and 95% of your requests must be within that time. A welcome (item 3) made after 24 hours counts as late. The Hub measures every request and shows, in the Simplafy Partners app and in Simplafy's panel, each request's deadline and your on-time percentage.
Target 2 — NPS. The NPS of your linked customers must stay above 55. How it is calculated:
- Question asked by Simplafy to the customer: "From 0 to 10, how likely are you to recommend [partner] to a friend?"
- Promoters = scores 9 and 10 · Passives = 7 and 8 · Detractors = 0 to 6.
- NPS = % promoters − % detractors (from −100 to +100).
- Example: 20 responses, 14 promoters (70%), 4 passives, 2 detractors (10%) → NPS = 70 − 10 = 60.
- The index uses responses from the last 6 months and only applies when there are at least 10 responses in that period. NPS appears in the Simplafy Partners app.
Monthly follow-up of the response time. Every month Simplafy checks Target 1:
- 1st month below 95%: you receive a notice and agree an improvement plan with Simplafy.
- 2nd consecutive month below 95%: Simplafy may transfer the affected customers to other partners, in a planned migration arranged directly with each customer, without the partner's interference; those customers stop generating the Partner Program Payment to you.
Quarterly review of level and permanence. Every quarter Simplafy reviews both targets, and the consequence applies in the following quarter:
- If you are Advanced and missed one of the targets in the quarter, you become Select.
- If you are Select and missed one of the targets in the quarter, you may lose the right to take part in the program, in addition to what the monthly follow-up provides for affected customers.
What support includes: the welcome of item 3; answering questions about using the Hub as it is, pointing to the Help Center and official materials; when it is a product issue, reproducing it, collecting what is needed and forwarding it to Simplafy, which solves it at second level; a periodic check-in; keeping your profile up to date.
The boundary is simple: answering, guiding and forwarding is support. Doing it on the customer's behalf is your own service (item 5).
5. Your own services (outside these Terms)
Everything beyond support is your own service, agreed and charged directly with the customer, in the way and at the price you decide: implementation and setup (channels, agents, knowledge base, pipelines), additional configuration, customizations, integrations, new automations and journeys, training the customer's team, assisted operation, consulting.
Simplafy stays out of these services: they are your business opportunity. Simplafy does not charge, share, guarantee or answer for them (item 14), and the Hub does not display your packages or prices.
6. How much and when you get paid (Partner Program Payment)
- How much: a percentage of the gross amount of everything each linked customer pays to Simplafy — plan subscription, AI credits, e-mail packs and internal services contracted in the Hub (such as invoice issuing). The percentage depends on your level in the 2027 Edition: Select = 10% up to 15 active customers · Advanced = 20% above 15. The same percentage applies to the monthly subscription and to variable usage, and to all your customers in the month. Example: a customer on the Equipe (Team) plan (R$ 599) yields R$ 59.90 per month at Select and R$ 119.80 at Advanced. A customer who pays in US dollars counts by the amount received in Brazilian reais.
- Active customer is a customer linked to you who had at least one invoice paid in the month.
- Day 10 — closing. Simplafy closes the month with everything your customers paid up to day 10, counts your active customers and sets your level and amount. The amount appears in the Simplafy Partners app and you receive an e-mail with it, requesting the service invoice. Whatever a customer pays from day 11 on goes into the next month. Simplafy pays on what the customer has already paid. There is no minimum: every amount is paid.
- By day 14 — the invoice. You issue one service invoice to Simplafy, for the exact amount shown in the app, and send it through the app by the end of day 14. The app checks the amount immediately; an invoice with a different amount comes back for correction and, until corrected, counts as not yet sent.
- Day 15 — payment. With the invoice accepted, Simplafy pays by Pix (Brazilian instant transfer), to the key registered in the app, in a single amount, with a per-customer breakdown.
- If the invoice does not arrive by day 14, that month's amount is kept for you and is paid on the next day 15 on which the invoice arrives, added to the new month (one invoice for the total). This rule applies equally to everyone, without exceptions, so that day 15 is always predictable.
- Refunds to the customer. If a customer is refunded (withdrawal, chargeback or dispute) before the day-10 closing, that payment does not enter the batch. If the refund happens after you have already been paid, your share is deducted from your next month's payment.
- A customer without a partner generates no Partner Program Payment to anyone. Affected customers transferred under the monthly follow-up (item 4) stop generating the payment to you from the migration on.
7. Levels and edition
- Your level is set by the number of active customers, at each day-10 closing: Select — up to 15 customers — 10%; Advanced — above 15 — 20%. The level is calculated automatically.
- You move up a level in the same month you exceed 15 active customers, and only move down at the end of the edition: if you reached 16 customers in one month and had 14 in the next, you remain Advanced until December 31, 2027. The only other way to move down is missing the quality targets of item 4 in the quarterly review (effective in the following quarter).
- 2027 Edition: from acceptance until December 31, 2027. The levels and percentages above apply throughout the edition. For 2028 Simplafy publishes the 2028 Edition, which may change tiers and percentages; you accept the new terms to continue. What has already been paid does not change.
- Each level has its badge (Select, Advanced) for your marketing, according to the brand guide.
8. End of the link with a customer
The link between you and a customer ends in these situations:
- (a) the customer asks to switch partners;
- (b) the customer closes the account at Simplafy;
- (c) you leave the program — in this case, your customers are automatically forwarded to other partners, so they keep being well served;
- (d) Simplafy carries out the planned migration of customers affected by the monthly response-time follow-up (item 4) or by serious misconduct (item 15);
- (e) you decide to stop serving a customer: just give notice through the Simplafy Partners app 30 days in advance. During that period you keep serving and being paid for that customer; at the end of the 30 days, Simplafy transfers the customer to another partner in a planned way.
Outside these situations, Simplafy does not remove customers from your portfolio (item 14). Whatever was already due to you (customer payments made before the link ended) is included normally in your next day-15 payment, with the invoice.
9. What Simplafy offers you
- Training and enablement: public YouTube videos and training materials with links, gathered in the "Learn more" section of simplafy.com.br/parceiros. Partner-only content is sent to you privately by Simplafy.
- Support material: presentations, templates, brand guide and your level's badges for your marketing, on the website's brand-usage page.
- Second-level support: what you cannot solve, Simplafy solves.
- Transparent measurement: each request's and each welcome's deadline, on-time percentage and your customers' NPS (with the formula in item 4), always visible in the Simplafy Partners app.
- Program e-mails at every step: request received, approval or refusal, referral received, day-10 closing, invoice reminder, payment, level change, target notice, migration and scheduled termination. Your customer also receives an e-mail with your details when you accept the referral.
- Hub Help Center and product news.
10. Customer data, public profile and brand
- You see contact data only for customers who chose you (or were forwarded to you) and stop seeing it when the link ends. This data is only for serving the customer: you act as a processor on behalf of Simplafy and protect its confidentiality and security.
- Your public profile in the catalog (name, introduction, areas of expertise, languages, website and the other fields marked as public, plus your level badge) is published the moment you edit it, without prior approval by Simplafy, under your responsibility and within the brand guide. Keep it truthful and up to date.
- You may use the Simplafy Partners name and your level's badge according to the brand guide. To protect the customer and the partnership, you always present yourself as a partner, not as Simplafy; promises and sales of the product are made by Simplafy.
11. Leaving the program
- You may leave whenever you want, through the Simplafy Partners app. Simplafy may end the partnership with anyone who breaches these Terms, including through the quarterly review of the targets in item 4 or for serious misconduct (item 15). In both cases customers are forwarded to other partners (item 8c).
- At the end of the edition, anyone who prefers not to accept the new terms leaves the program the same way, with amounts due paid normally.
- Your payment and invoice history is kept by Simplafy (tax obligation), even after leaving.
12. What the program does not include
To avoid doubts: the program has no Hub resale, no plan discount, no payment in credits, no regional exclusivity, no guaranteed customer volume, no charging of your services through the Hub, no hand-picked level and no third level. Payment always happens on day 15 and always against the invoice received by day 14.
13. Communications between the parties
- The program's official contact is [email protected]. Notices, requests and questions about these Terms are valid when sent from that e-mail (from Simplafy to you) or to that e-mail (from you to Simplafy), in addition to the notices in the Simplafy Partners app itself and the program e-mails.
- On your side, the e-mail of the person in charge registered in your Hub organization applies; keep it up to date.
14. Responsibilities and guarantees
- Your services are your responsibility. The services you provide to customers on your own (item 5) are exclusively your responsibility: Simplafy does not answer for them, nor for the acts, deadlines, results or charges involved.
- Simplafy refers, it does not endorse. Simplafy presents partners to the customer (catalog, referral by area, code), but does not guarantee or endorse any partner's work. The decision to have a partner, and which one, is always the customer's.
- The portfolio is yours, within the rules. Simplafy only removes customers from your portfolio in the cases set out in these Terms: customer request, account cancellation, your leaving the program, missed targets (item 4), termination notified by you (item 8e) or serious misconduct (item 15). Otherwise, your customers stay with you.
15. Serious misconduct and penalty
The following are serious misconduct:
- using the Simplafy or Simplafy Partners brand outside the brand guide, or passing yourself off as Simplafy;
- leaking or misusing customer data (including outside the support service), in breach of data-protection law;
- diverting a linked customer to another system while being paid by the program for that customer;
- providing false information in the sign-up, in the public profile, in the invoice or in the requests.
In case of serious misconduct, Simplafy may apply a penalty of 3 (three) times your last monthly Partner Program Payment, deducted from your following payments, in addition to transferring the affected customers (item 8d) and ending the partnership (item 11). The penalty does not prevent Simplafy from claiming greater damages, if any.
